      WHEREAS, in payment of the said shares of stock subscribed by ASSIGNORS in the ASSIGNEE corporation, the parties agreed that ASSIGNORS shall assign, transfer and convey in favor of ASSIGNEE corporation all real rights of ownership and possession over the parcels of land covered by Transfer Certificates of Title Nos.__________ and ___________ located in ____________ as hereinafter described;
